Preamble

These Terms of Use (the “Terms”) set out the conditions under which users (the “User” or “You”) may access and browse the website www.keypredict.com/en (the “Website”), published by Key Predict.

These Terms do not govern access to, or use of, the Key Predict assessment Platform (Client Area, assessments, reports, etc.), which is governed by the General Terms and Conditions of Sale (the “GTCS”) and, where applicable, by the contract entered into between Key Predict and its Clients. These Terms apply solely to browsing the corporate Website and its public content (presentation pages, blog, resources, contact and demo request forms).

Any access to, and use of, the Website constitutes unreserved acceptance of these Terms by the User.

Article 1 — Website Publisher

The Website is published by Key Predict SAS, with share capital of €1,008,675, registered with the Paris Trade and Companies Register (RCS Paris) under number 441 914 272, with its registered office at 21 Square Saint-Charles, 75012 Paris, France.

Article 2 — Access to the Website

The Website is accessible free of charge, twenty-four hours a day, seven days a week, to any User with internet access. All costs relating to such access (computer equipment, internet connection, etc.) are the User’s sole responsibility.

Key Predict makes every effort to keep the Website accessible but cannot be held liable for any interruption, failure, maintenance operation or temporary unavailability, whatever the cause.

Article 2 bis — Client Area

The Website includes a link to the Client Area, reserved for Clients who have subscribed to Key Predict’s Services. Access to, and use of, the Client Area and the assessment Platform are governed exclusively by the GTCS and, where applicable, by the contract entered into between Key Predict and the Client — these Terms do not apply to them.

Article 3 — Intellectual Property

All elements making up the Website (text, images, videos, graphics, logos, icons, sounds, software, structure, databases, the “Key Predict” trademark, etc.) are the exclusive property of Key Predict or its partners and are protected under intellectual property law.

Any reproduction, representation, modification, publication or adaptation of all or part of the Website’s elements, by any means or process whatsoever, is prohibited without Key Predict’s prior written authorisation, except for strictly personal, non-commercial use (browsing, printing for private archiving).

Any unauthorised use of the Website or any of its elements will be regarded as infringement and prosecuted in accordance with the French Intellectual Property Code.

Article 4 — Use of the Website

The User undertakes to use the Website in accordance with its purpose and with applicable regulations. The following are, in particular, prohibited:

any fraudulent use of the Website, or any use likely to impair its proper functioning (intrusion, overload, automated data extraction, content scraping, etc.);
any unauthorised collection of data concerning other users;
any dissemination, via the Website’s forms, of unlawful or defamatory content, or content infringing third-party rights;
any use of the Website for commercial purposes not authorised by Key Predict.

The Website’s forms (contact, demo request, resource downloads, job applications, etc.) must be completed with accurate information. By submitting a form, the User consents to being contacted by Key Predict under the conditions set out in the Privacy Policy. Key Predict reserves the right to suspend or refuse access to any User who fails to comply with these Terms.

Article 5 — Hyperlinks

The Website may contain hyperlinks to third-party websites. Key Predict has no control over these websites and disclaims all liability as to their content, availability, or the personal data protection practices they implement.

Any third-party website wishing to create a hyperlink to the Website must first inform Key Predict. Key Predict reserves the right to request the removal of any link it considers inconsistent with its image or activities.

Article 6 — Personal Data and Cookies

Personal data collected on the Website (contact forms, demo request forms, browsing cookies, etc.) is processed as described in detail in Key Predict’s Privacy Policy, available in the Website’s footer.

In accordance with the General Data Protection Regulation (GDPR) and applicable French data protection law, the User has a right of access, rectification, erasure, restriction, objection and data portability, which may be exercised under the conditions set out in the Privacy Policy.

Article 7 — Liability

Key Predict endeavours to ensure the accuracy and currency of the information published on the Website, without guaranteeing that such information is exhaustive, accurate or up to date; it is provided for information purposes only.

Key Predict cannot be held liable for any direct or indirect damage resulting from access to the Website, its use, or the inability to access it, nor for any viruses that may infect the User’s computer equipment.

Article 8 — Governing Law and Jurisdiction

These Terms are governed by French law. In the event of a dispute relating to their interpretation or performance, and failing an amicable resolution, the courts of Paris shall have exclusive jurisdiction, subject to any mandatory legal provision to the contrary.

Article 9 — Amendments to These Terms

Key Predict reserves the right to amend these Terms at any time, in particular to comply with any legal, regulatory, case-law or technical developments. The applicable version is the one in force on the date the Website is accessed; the update date appears at the top of this document.
